株式会社ハースト婦人画報社（以下「当社」という）は、Instagramに投稿された質の高いコンテンツを当社の運営するCosmopolitan JapanのInstagramアカウントで使用させていただきたく、その使用許諾を投稿主である皆様にお願いしたいと思います。

画像、写真、ビデオ、テキスト、イラスト、その他全てを含む今回投稿されたコンテンツ（以下「投稿コンテンツ」という）の当社による使用に同意していただける場合には、誠にお手数ですが、ハッシュタグ#cosmojpphotoでリプライ（@返信）していただきますようお願いします。リプライすることをもって、この『ユーザー生成コンテンツの利用について』に記載された事項（以下「本利用条件」という）に対する、あなたからの同意の意思表示とさせていただきます。

使用許諾

あなたは、当社に対し、Cosmopolitan JapanのInstagramアカウントにおいて、当社の裁量で、方法をとわず、あなたの投稿コンテンツを使用し、永久に、撤回不能な、非独占的な、全世界における権利を無償で許諾します。

当社は、あなたにいかなる義務を負うこともなく、独自の裁量で、方法をとわず、あなたの投稿コンテンツを使用、掲載、複製、配布、送信、翻案、派生物を作成、他素材と複合、変更、編集できるものとします。あなたは著作者人格権、これに相当する著作者の権利を一切行使しないことに同意します。

あなたは、当社に対して、あなたのユーザーネーム、容姿、あなたに関する記述、肖像、声、その他あなたを特定できる情報、および、あなたの投稿コンテンツに含まれているあなた以外の人物を特定できる情報を、投稿コンテンツの使用に関連して使用することを許可します。

個人情報

あなたは、あなたの個人情報を、当社が本利用条件に基づく投稿コンテンツの使用に関連して使用し開示する目的で、取得することに同意します。また、あなたが、あなた以外の人物の個人情報を、当社に本利用条件に基づく投稿コンテンツの使用に関連して使用させ開示させるために当社に提供することについて、あなたは、その人物からの同意を取得する全責任を負います。

あなたが、あなたの個人情報のこのような収集、使用、開示に同意しない場合、またはあなた以外の人物の個人情報をこのような当社の使用、開示のために提供することについて、あなたがその人物からの同意を得ていない場合は、あなたやあなた以外の人物の個人情報を当社に提供しないでください。

保証

あなたは次のことを表明、保証し、同意します。

（１） あなたの投稿コンテンツの全責任はあなたが負うこと、

（２） あなたの投稿コンテンツにかかる全ての権利をあなたが保有していること、または、あなたの投稿コンテンツにかかる権利を保有、管理または主張する全ての個人、団体から適切な権利や許可を得ていること、

（３） あなたの投稿コンテンツに含まれる全ての人物から、その人物を投稿コンテンツに含むこと、その人物の個人情報を本利用条件に定める利用のために提供することに対する適切な許可を得ていること、

（４） あなたが未成年者ではなく２０歳以上であること、

（５） 当社が本利用条件に定めるとおりにあなたの投稿コンテンツを使用することが、第三者の著作権、商標、特許、企業秘密、プライバシー、人格権等の一切の権利を侵害するものではなく、または一切の法令に違反するものではないこと、

（６） あなたの投稿コンテンツが名誉棄損、中傷、わいせつ、ポルノ、暴力、下品、脅迫、嫌がらせ、偏見、憎悪、攻撃的、または違法の内容を含まないこと。

あなたは、当社によるあなたの投稿コンテンツの使用に関して生じるいかなる法的責任からも当社を解放、免責、補償し、かつ保護することに同意します。

その他

投稿コンテンツ及びあなたが当社に提供し本利用条件に定めるとおりの使用を許諾した情報は、秘密とはみなされず、それら当社に提供された情報に含まれる一切の情報について、それがいかなる形式のものであれ、当社は秘密保持義務を負いません。

当社は、投稿コンテンツを掲載した媒体から、投稿コンテンツをあなたに通知することなく削除する権利を有します。

当社は、事前に変更の通知をすることなく、この『ユーザー生成コンテンツの利用について』の掲載場所に変更後の本利用条件を掲載することによって、本利用条件を変更する権利を有します。このため、あなたは、投稿コンテンツの使用を許可する度に、本利用条件を確認する必要があります。

当社のブランド、ウェブサイトやその他のサービス、それらにより提供するコンテンツ、Instagramを含むソーシャルメディアでの当社のアカウントに掲載するコンテンツ（以下、「当社の知的財産」という）は著作権、商標、および他の知的財産に関する法令によって保護されています。あなたは、あなたの投稿コンテンツの使用を当社に許諾すること、またはあなたが当社の知的財産を使用、アクセスすることをもって、当社の固有の情報や資料に対し所有権その他いかなる権利も取得するものではないことを認識し同意します。

あなたは、当社が本利用条件または法令に基づく権利または救済手段を行使しない場合でも、当社はこれらの権利または救済手段を正式に放棄したわけではなく、当社が引き続きこれらの権利または救済手段を行使しうることに同意します。

本利用条件のいずれかの規定が、ある法域において違法、無効または法的拘束力のないものとなった場合においても、その他の規定はその法域においても影響を受けず、また、その他の法域において、本利用条件の合法性、有効性、法的拘束力が影響を受けるものではありません。

本利用条件は日本法に準拠し、あなたと当社は、東京地方裁判所を専属的合意管轄裁判所とすることに合意します。

Hearst Fujingaho Co., Ltd. (“Hearst Fujingaho”) reaches out to Instagram users to seek their permission to use their posted content of high quality in Instagram account of Hearst Fujingaho’s Cosmopolitan Japan.

If you choose to allow us to use the content that you have posted including images, photographs, video, text, illustrations and any other materials (“Posted Content”) by replying with the hashtag #cosmojpphoto, you agree to these Terms of Use (“Terms”).

LICENSE

You hereby grant Hearst Fujingaho perpetual, irrevocable, non-exclusive and royalty-free worldwide right to use your Posted Content in Cosmopolitan Japan’s Instagram account in any manner in Hearst Fujingaho’s sole discretion.

Hearst Fujingaho may use, publish, reproduce, distribute, transmit, adapt, create derivative works from, combine with other materials, alter and/or edit your Posted Content in any manner in their sole discretion, with no obligation to you whatsoever. You irrevocably and unconditionally waive the benefits of any provision of law known as “moral rights of authors” or any similar benefits under the laws of any jurisdiction.

You grant Hearst Fujingaho the right to use your username, image, descriptions of you, likeness, voice and other identifying information of you and other persons featured or included in you Posted Content, in connection with the use of Posted Content.

PERSONAL INFORMATION

You hereby consent to the Hearst Fujingaho’s collection of any personal information you provide for Hearst Fujingaho’s use and disclosure in connection with the use of your Posted Content as described herein. You are also solely responsible for getting consent of other persons to your provision of such persons’ personal information for Hearst Fujingaho’s use and disclosure in connection with the use of your Posted Content as described herein.

If you do not agree to the collection, use and disclosure of your personal information in this way, or if you do not obtain consent of such other persons to provision of their personal information for Hearst Fujingaho’s use and disclosure in this way, please do not provide Hearst Fujingaho with your and/or others’ personal information.

WARRANTIES

You hereby agree and represent and warrant that (i) you are solely responsible for your Posted Content, (ii) you own all rights in and to your Posted Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such Posted Content, (iii) you have obtained appropriate permissions from any and all other persons to feature or include them in your Posted Content and to provide their personal information for Hearst Fujingaho’s use as described herein, (iv) you are not a minor and at least 20 years of age, (v) Hearst Fujinagaho’s use of your Posted Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation, and (vi) the Posted Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.

You release, discharge, and agree to indemnify and hold harmless Hearst Fujingaho from any liability related in any way to its use of Posted Content.

OTHERS

The Posted Content and other information that you submit and granted Hearst Fujingaho the right to use as described herein is deemed non-confidential and Hearst Fujingaho has no obligation to maintain the confidentiality of any information, in whatever form, contained in or provided in connection with any submission.

Hearst Fujingaho reserve the right to remove Posted Content from the media it is displayed without informing you.

Hearst Fujingaho reserves the right to alter these Terms of Use without advance notice by posting a revised Terms. Accordingly, you should review the Terms each time you grant permission or authorization to feature your Posted Content.

Hearst Fujigaho’s properties may be protected by copyright, trademark and other intellectual property laws. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of Hearst Fujigaho by authorizing use of your Posted Content or otherwise using or accessing any properties of Hearst Fujigaho.

You agree that if Hearst Fujigaho does not exercise or enforce any legal right or remedy which is contained in these Terms (or which Hearst Fujigaho has the benefit of under any applicable law), this will not be taken to be a formal waiver of Hearst Fujigaho’s rights and that those rights or remedies will still be available to it.

If at any time any provision of these Terms is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction that shall not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of these Terms or the legality, validity or enforceability under the law of any other jurisdiction of that or any other provision of these Terms.

These Terms are subject to Japanese law and the parties submit to the exclusive jurisdiction of Tokyo District Court.
